Terms of Use – Acceptance
Please read through these “Terms of Use” carefully. By accessing and/or using the CEO Global Network Inc. (CEO Global Network) Web site (the “Website”), or by otherwise accessing any content found on the Website, you are deemed to have entered into an agreement with CEO Global Network Inc. and to have agreed to be bound by these Terms of Use.

By completing and submitting any contact forms or download forms on the Website, you are providing your express consent to be contacted by us, via electronic messages or otherwise, to notify you about new products, services, and features offered by CEO Global Network. You may withdraw your consent at any time.
Intellectual Property Protection
The contents and design of the Website and any material electronically provided to you or otherwise supplied to you in conjunction with the Website (such content(s), design and materials being collectively referred to as the “Content”), are the property of CEO Global Network Inc. and are copyrighted. Other contributors to the Website may also have copyright in the Content. You may not use or reproduce, or allow anyone to use or reproduce, any trade marks (such as the “CEO Global Network” name and logo or other trade names appearing on the Website) for any reason whatsoever without written permission from CEO Global Network Inc. or the identified copyright/trademark owner. The software which operates the Website is proprietary software and you may not use it except as expressly permitted under these Terms of Use. You may not copy, reverse engineer, modify or otherwise deal with the software in any manner.
Use of Content
You may retrieve and display the Content on a single computer screen, print individual single copies of pages on paper and store such pages, in electronic form, on your single computer for your personal, non-commercial use. Except as expressly set out above, you may not reproduce, modify, or in any way commercially exploit any of the Content. In particular, but without limiting the generality of the above restrictions, you may not do any of the following without prior written permission from CEO Global Network Inc.:
- reproduce or store in or transmit to any other website, newsgroup, mailing list, electronic bulletin board, server or other storage device connected to a network, or regularly or systematically store in electronic or print form, all or any part of the Content; or
- modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, or in any way exploit, all or any part of the Content (including use as part of any archive or similar service) without the prior written consent of CEO Global Network Inc.; or
- remove the copyright or trade mark notice from any copies of the Content made under these Terms of Use; irrespective of the owner of the trademark(s) or copy right(s).
Any use of the Content not specifically permitted above is expressly prohibited.
Third Party Transactions
You may use the Website to purchase products or services from CEO Global Network’s third-party partners. In that event, your contract for such products will be with the third-party partner and not with CEO Global Network Inc.
Termination of Access
CEO Global Network may, in its sole and absolute discretion, terminate or suspend your access to all or part of the Website (including any right to access and use the Content) with cause, by delivering notice to you in writing by e-mail or otherwise.
These rights of termination are in addition to all other rights or remedies of CEO Global Network Inc. provided either in these “Terms of Use” or by law.
Changes to the Web Sites
CEO Global Network reserves the right, in its sole discretion, to suspend, change, modify, add or remove portions of the Content available on the Website at any time without penalty.
Privacy Policy
The information that you provide about yourself to CEO Global Network will only be used in accordance with our Privacy Policy.
Limitation of Liability
While every effort has been made to ensure the high quality and accuracy of the Website, CEO Global Network makes no warranty, either express or implied, concerning the Content, software or products or services available through the Website which are provided “as is”. CEO Global Network expressly disclaims all warranties, including but not limited to, denials of warranties of fitness for a particular purpose and denials of warranties of merchantability.
The Website may contain Postings and Content submitted by users over whom CEO Global Network has no control: CEO Global Network cannot therefore guarantee the accuracy, integrity or quality of any Postings or Content. Some users of the Website may breach these Terms of Use and post Postings and Content that is misleading, untrue or offensive. You assume all risk associated with your use of the Website and should not rely on the Postings and Content.
It is not possible for CEO Global Network to fully and effectively monitor Postings and Content that are submitted for possible infringement of third-party rights. If you believe that a Posting or the Content may infringe your legal rights, you should notify CEO Global Network immediately.
In no event will CEO Global Network, its affiliates or other suppliers be liable for direct, special, incidental, or consequential damages (including, without limitation, damages for loss of business profits, business interruption, loss of business information or other pecuniary loss) arising directly or indirectly from the use, failure to use, or reliance on, the Website, even if CEO Global Network has been advised of the possibility that such damages may arise.
CEO Global Network does not guarantee the accuracy, content, or timeliness of the Content or that the Website is free from viruses or other contaminating or destructive properties.
You expressly agree that any possible liability of CEO Global Network, its affiliates, agents and licensors to you (and/or any third party) arising out of any kind of legal claim (whether in contract, tort, or otherwise) in any way connected with the Website services or alleged breach of these “Terms of Use” by CEO Global Network will be expressly limited to the amount, if any, paid by you to CEO Global Network in respect of the use of the Website to which the claim relates or such sums received by CEO Global Network from you as membership dues and, specifically, whatever amount is less.
Upon CEO Global Network’s request, you agree to defend, indemnify and hold CEO Global Network fully harmless from any claims and expenses, including reasonable legal fees, related to any breach of these Terms of Use by you for your use of the Website.
Changes to these Terms
CEO Global Network may, in its sole and absolute discretion, change these Terms of Use (including those relating to your use of the Website and/or the Content). When the Terms of Use are changed, CEO Global Network will notify you by publishing details of those changes on the Website in these Terms of Use. If you use the Website after CEO Global Network has published, or otherwise notified you, of the changes, you are agreeing now to be bound by those changes. If you do not agree to be bound by those changes, you should not use the Website any further after the changes are published. Access to certain parts of the Website including, but not limited, the Content may be subject to additional terms and conditions.
Website Content and other Web sites
Parts of the Website may contain third party content. Content providers are responsible for ensuring that material submitted for inclusion on the Website complies with CEO Global Network’s “Privacy Policy” and the “Terms of Use” on the Website. CEO Global Network is not responsible for any third-party content. The Website may contain links to other websites. CEO Global Network is not responsible for the availability of these websites or their content.
Assignment of Agreement
This agreement to abide by the Terms of Use of the Website is personal to you and your rights and obligations under these Terms of Use may not be assigned, sub-licensed or otherwise transferred. This agreement may only be assigned to a third party by CEO Global Network which assignment shall not require the member’s approval.
Non-Waiver
No delay or omission on the part of either party in requiring performance by the other party of its obligations under these Terms of Use will operate as a waiver of any right.
Force Majeure
CEO Global Network, its affiliates and its information providers, will not be liable or deemed to be in default for any delay or failure in performance or interruption of the delivery of the Content resulting directly or indirectly from any cause or circumstance beyond its or their reasonable control, including, but not limited to, failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses, unauthorized access, theft, operator errors, severe weather, earthquakes or natural disasters, strikes or other labor problems, wars, or governmental restrictions.

Notices to CEO Global Network must be given in writing by letter and sent to:

Severability/Survival/Statute of Limitations
If any provision of these Terms of Use is found to be invalid or unenforceable, such will not render all the Terms of Use unenforceable or invalid but rather the Terms of Use will be read and construed as if the invalid or unenforceable provision(s) are not contained therein. Any cause of action of yours with respect to these Terms must be filed in a court of proper competent jurisdiction in Ontario, Canada, within one year after the cause of action is alleged to have arisen, or such cause of action will be barred, invalid, and void.
Future Agreement
Save as expressly referred to herein, any other alleged representation, warranty, term or condition that is not expressly set out in these Terms of Use, shall not apply.
Headings
Headings in these Terms of Use are for convenience only and have no legal meaning or effect.
Governing Law and Jurisdiction
These Terms of Use shall be governed by, and construed in accordance with, the laws of the Province of Ontario. The parties irrevocably agree that the courts of Ontario shall (subject to the paragraph below) have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms of Use.
